Mr. Bayley is knowledgeable in areas of asset backed lending, corporate restructuring, natural resources and real estate. He is currently the President and a Director of Earlston Management Corp. (a private management company). From June 2003 to July 2013, Mr. Bayley held various positions including CEO and President and Director of Quest Capital Corp., a predecessor company to Sprott Resource Lending Corp. (a publicly traded resource lending company). Prior to his positions with Quest Capital Corp., Mr. Bayley worked with the Vancouver Stock Exchange, now the TSX Venture Exchange. Mr. Bayley has held active senior management positions in both private and public natural resource companies and has over 30 years of public issuer experience both as a director and officer. Mr. Bayley holds an MBA from Queen’s University.
John Downes, CPA, CA, is the Chief Financial Officer of Earlston Management Corp. and has over 15 years of management and accounting experience in the natural resource and financial services sectors. Prior to joining Earlston, John was the Manager, Financial Reporting for Sprott Resource Lending Corp. and previously he was a manager at PricewaterhouseCoopers. As the CFO of Earlston Management Corp., John oversees the provision of accounting services, and he also serves as the CFO of various TSX Venture-listed companies, overseeing the financial reporting, tax compliance and financial management functions.
Richard Graham is a Professional Geologist, registered with the Association of Professional Engineers and Geoscientists of Alberta (APEGA) and has approximately 25 years of geological experience, including 9 years in the management, development and governance of public companies conducting worldwide mineral exploration. During his career Mr. Graham has been the founding President or a founding Director of over 10 junior resource companies that advanced to public-listings on the CSE, TSX or TSXV. A qualified person (“QP”) under National Instrument 43-101 for many deposit types, Mr. Graham has completed numerous Technical Reports, written numerous Press Releases, as well as completing global mine/mineral property evaluations for short term debt financings ranging from $1 million to over $60 million and equity financings ranging from $500,000 to over $150 million. Mr. Graham has a Bachelor of Science, Specialization in Geology, (1988) from the University of Alberta, has completed the Canadian Securities Course and the Partners, Directors and Senior Officers Course. Mr. Graham is also a director and/or officer of several public companies.
Sandra Lee has worked in public company management and administration since 1996. Currently she is the Corporate Secretary of Earlston Investments Corp. and Earlston Management Corp., a private management company. Previously, Ms. Lee was the Corporate Secretary of several publicly traded companies including Sprott Resource Lending Corp., a resource lending company, between July 2003 and January 2011 and Kirkland Lake Gold Inc., an operating and exploration gold company, between February 1995 to February 2012. Prior to industry experience, Ms. Lee worked as a legal assistant for a number of national law firms in the areas of corporate and securities laws. Ms. Lee has a Legal Assistant certification from Capilano College and is a Member of the Canadian Society of Corporate Secretaries and the Institute of Chartered Secretaries and Administrators.
